1. Agreement & acceptance
By accessing or using our website and by engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the site or request services from V4 Outsourcing.
2. Definitions
"Company" means APICAL KWALITY EXIM PVT. LTD. trading as V4 Outsourcing. "Client" means any person or business purchasing services. "Services" means outsourcing, staffing, recruitment or other services provided by the Company.
3. Scope of services
Services provided are described in proposals, statements of work (SOW) or contracts agreed in writing. Each engagement is governed by the applicable SOW and these Terms (unless superseded by mutually executed contract terms).
4. Proposals, quotes & acceptance
Proposals or quotes are valid for the period stated. Acceptance is confirmed when a signed proposal, purchase order or email confirmation is received. The Company may require an initial deposit where stated in the proposal.
5. Client obligations
Clients must provide accurate information, access to systems, timely feedback and any required approvals to allow the Company to perform Services. Failure to cooperate may delay delivery and the Company is not liable for such delays.
6. Fees, invoicing & payment
- Fees are as quoted in proposals or SOWs and are payable in AUD unless otherwise stated.
- Invoices are due within the payment terms shown (typically 7–30 days). Late payments may incur interest or suspension of services.
- Where applicable, taxes, duties or bank fees are the responsibility of the Client.
7. Refunds & replacements
Replacement or refund terms (if any) will be specified in the SOW. The Company offers candidate replacement policies in many engagements — details will be in your contract. Refund eligibility is limited and considered on a case-by-case basis.
8. Intellectual property
Unless otherwise agreed, the Company retains ownership of pre-existing IP and tools. On full payment, the Client receives a licence to deliverables produced specifically for the Client, excluding the Company's generic methodologies, templates and tools.
9. Confidentiality
Both parties will keep confidential information secure and only use it for the purpose of providing or receiving Services. Confidential information does not include information that is public, independently developed, or required to be disclosed by law.
10. Data protection
The Company processes personal data in accordance with its Privacy Policy. Clients must ensure they have the right to share personal data with the Company and agree to any necessary data processing/transfer arrangements.
11. Warranties & disclaimers
The Company warrants that it will provide Services with reasonable skill and care. Except where required by law, all other warranties — express or implied — are excluded to the maximum extent permitted by law (including merchantability, fitness for purpose).
12. Limitation of liability
To the maximum extent permitted by law, the Company's aggregate liability for any claim arising under or in connection with these Terms or any SOW is limited to the total fees paid by the Client to the Company under the specific SOW in the 12 months preceding the claim.
Neither party will be liable for indirect, incidental, consequential, special or punitive losses, loss of profit, or loss of business opportunity.
13. Indemnity
The Client indemnifies and holds the Company harmless from any third-party claims arising from Client-provided content, misuse of deliverables, or breach of applicable laws by the Client.
14. Subcontracting & partners
The Company may appoint subcontractors or partners to perform Services. The Company remains responsible for the acts of its subcontractors and will use reasonable care in selecting and managing them.
15. Termination
Either party may terminate a contract in accordance with the termination clauses in the SOW. The Company may suspend services if invoices are overdue. On termination, outstanding fees and expenses become immediately payable and the Client must return or destroy confidential information as requested.
16. Force majeure
Neither party is liable for any failure to perform caused by events outside reasonable control (e.g., natural disasters, strikes, pandemic, internet outages). Performance will be extended for the duration of the event.
17. Changes to services & terms
Changes to the scope of Services will be handled via change requests and may affect fees and timelines. The Company may update these Terms; material changes will be communicated, and continued use after notification constitutes acceptance.
18. Governing law & jurisdiction
These Terms are governed by the laws specified in the relevant contract or, if none is specified, by the laws of India (or the jurisdiction agreed in writing). Disputes will be resolved by negotiation and, where necessary, by the courts of the agreed jurisdiction.

20. Entire agreement
These Terms together with any executed SOW, proposal or other written agreement constitute the entire agreement between the parties and supersede all prior agreements regarding the subject matter.
21. Severability
If any provision is found invalid or unenforceable, the remainder of these Terms will continue in effect and the invalid provision will be replaced by a valid provision that most closely matches the parties' intent.
